01Agreement to these terms
These Terms of Use (the Terms) govern your access to and use of rayca.ai and its pages, content and forms (the Website). By using the Website you agree to these Terms. If you do not agree, please do not use the Website.
If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf, and “you” includes that organisation.
These Terms govern the Website only. Any collaboration, pilot, licence or service with Rayca is governed exclusively by a separate written agreement signed by both parties, which prevails over these Terms in case of conflict.
02Who we are
The Website is operated by Rayca Precision Ltd, a company incorporated in the United Kingdom (Rayca, we, us). Our affiliates include Rayca Precision Oy, a company incorporated in Finland, and Rayca Precision Inc., a Delaware corporation in the United States.
03Using the Website
We grant you a limited, non-exclusive, non-transferable and revocable permission to access the Website and to view, download and print its content for your personal use or the internal business purpose of evaluating Rayca and its work, subject to these Terms. You may share links to the Website and quote brief extracts with attribution to Rayca.
Content we publish for the press, such as news releases, may be reproduced for reporting on Rayca, provided it is not altered in a misleading way and is attributed to Rayca. All other uses require our prior written permission.
04No scientific, medical or investment advice
The Website presents general information about Rayca, our technology, our research and our programmes. In particular:
- Not medical advice. Nothing on the Website is medical advice or a recommendation about any treatment. Molecules, targets and programmes described on the Website are at research stages, are not approved medicines, and are not available for use in people. Always seek the advice of a qualified healthcare professional about any medical condition.
- Not scientific or professional advice. Scientific content, figures, structures, workflows and examples are illustrative and simplified. They are not a substitute for independent scientific, technical or regulatory judgement, and you should not rely on them for research, development or regulatory decisions.
- Not an offer. Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any securities, nor an offer to provide services. Descriptions of capabilities, timelines and results do not guarantee any particular outcome in a specific programme. Any engagement is subject to a written agreement.
- Not investment advice. Nothing on the Website is investment, financial, legal or tax advice.
05Forward-looking statements
The Website may contain statements about our plans, programmes, technology, partnerships and expectations. These statements are based on our current views and assumptions and involve risks and uncertainties, including those inherent in research and drug discovery. Actual results may differ materially. We undertake no obligation to update them, except where the law requires.
06Intellectual property
The Website and its content, including text, graphics, illustrations, molecular renderings, animations, software code, page design, and the selection and arrangement of content, are owned by Rayca or its licensors and are protected by copyright, database rights, trademark law and other intellectual property laws. Except for the limited permission in section 3, no right or licence is granted to you, whether by implication, estoppel or otherwise.
“Rayca”, “Rayca Precision” and the Rayca logo are trademarks of Rayca. You may not use them without our prior written permission, including in any way that suggests sponsorship, endorsement or affiliation. Names and logos of other organisations shown on the Website belong to their respective owners. Their appearance reflects a relationship or event described on the Website and does not imply any further endorsement.
Publication of information about our technology or research on the Website does not grant any licence under any patent, patent application, know-how or other right of Rayca.
07Acceptable use
You agree not to, and not to help anyone else to:
- use the Website in any way that breaks any applicable law or regulation, or for any fraudulent or harmful purpose;
- gain or attempt to gain unauthorised access to the Website, its servers, databases or any connected system, or probe, scan or test their vulnerability without our written permission;
- interfere with or disrupt the Website, including by introducing malicious code or by sending a volume of requests that impairs its operation for others;
- circumvent any security, access or rate-limiting measure, or our robots.txt instructions;
- submit false, misleading or unlawful information through our forms, impersonate any person or organisation, or send unsolicited commercial messages;
- copy, reproduce, republish, frame or sell the Website or its content, except as section 3 allows;
- remove or alter any copyright, trademark or other proprietary notice.
Search engines and other automated agents may index the Website in accordance with our robots.txt file. This does not permit any use of the content beyond what these Terms or applicable law allow.
We may suspend, restrict or block access to the Website, in whole or in part, for anyone we reasonably believe is in breach of these Terms, and we may report any breach to the relevant authorities and cooperate with them, including by disclosing information as the law permits.
08Enquiries and submissions
When you contact us through the Website, you confirm that the information you provide is accurate and that you have the right to share it.
Please do not send confidential or proprietary information, including unpublished data, target or compound details, or information belonging to others, through the Website’s forms. Unless and until Rayca and you have signed a confidentiality agreement:
- information you send through the Website is not treated as confidential, and we accept no obligation of confidentiality in respect of it;
- no partnership, agency, employment or other relationship is created by your enquiry or our response;
- we are under no obligation to review, use, respond to or compensate you for any idea, proposal or material you send us, and we may already be developing, or may later develop, similar ideas independently.
If you send us feedback, suggestions or ideas about the Website or our work, you grant Rayca a worldwide, perpetual, irrevocable, royalty-free licence to use them for any purpose, without obligation or attribution to you. This does not apply to your personal data, or to information that a signed agreement between us covers.
Personal data you submit is handled in line with our Privacy Policy, which this section does not limit.
09Third-party links and content
The Website contains links to websites and content operated by others, such as news coverage, event pages, scientific publications and social media. We provide them for convenience only. We do not control and are not responsible for their content, availability, or privacy and security practices, and a link does not mean we endorse them. Your use of those websites is subject to their own terms.
10Availability and changes
We may change, suspend or withdraw all or part of the Website at any time, without notice, and we do not guarantee that it will be available without interruption or that any content will remain available. We aim to keep the content accurate and current, but it may at times be incomplete or out of date, and we have no obligation to update it.
We may revise these Terms from time to time. The revised Terms apply from the date they are published, shown at the top of this page. If you continue to use the Website after that date, you accept the revised Terms.
11Disclaimer
To the fullest extent permitted by applicable law, the Website and its content are provided “as is” and “as available”, without any representation, warranty or condition of any kind, whether express, implied or statutory, including any implied warranty of accuracy, completeness, merchantability, satisfactory quality, fitness for a particular purpose or non-infringement. We do not warrant that the Website will be secure, error-free or free from viruses or other harmful components. You are responsible for protecting your own devices and data.
12Limitation of liability
The Website is provided free of charge and for information only. Accordingly, to the fullest extent permitted by applicable law:
- Rayca and its affiliates, and their directors, employees and agents, are not liable for any loss or damage arising from or in connection with your use of, or inability to use, the Website or any content on it, or your reliance on that content, whether in contract, tort (including negligence), breach of statutory duty or otherwise;
- in particular, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, opportunity, goodwill or data;
- we are not liable for any loss or damage caused by a virus, distributed denial-of-service attack or other technologically harmful material that may infect your equipment, programs or data through your use of the Website, or by your downloading any content from it or from any website linked to it;
- where liability cannot be excluded but can be limited, our total liability to you in connection with the Website is limited to one hundred pounds sterling (GBP 100).
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
If you are a consumer, we provide the Website for domestic and private use only. We are responsible to you only for loss or damage that is a foreseeable result of our breach of these Terms or of our failure to use reasonable care and skill, and we have no liability to you for any business loss. These Terms do not affect your statutory rights.
If you use the Website for business purposes, any claim against Rayca in connection with the Website must be brought within one year after the event giving rise to it, to the extent the law allows such a limit.
13Your responsibility
If you use the Website for business purposes, you agree, to the extent permitted by law, to indemnify and hold harmless Rayca and its affiliates, and their directors, employees and agents, from and against any claims, losses, liabilities, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or any information or material you submit to us. This section does not apply to consumers.
14Privacy and cookies
Our Privacy Policy and Cookie Policy explain how we process personal data and use cookies. They do not form part of the contract these Terms create, but they apply to your use of the Website.
15Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Website, including non-contractual disputes or claims, are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction, except that we may also bring proceedings in any other court with jurisdiction to protect our intellectual property or confidential information.
If you are a consumer, you also benefit from any mandatory protections of the law of the country where you live. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts. If you live in the European Union, you may bring proceedings in the courts of the country where you live.
16General
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions remain in full force and effect.
- No waiver. A failure or delay by us in enforcing any right is not a waiver of that right.
- Assignment. We may transfer our rights and obligations under these Terms to an affiliate or a successor to our business. You may not transfer yours without our written consent.
- Entire agreement. These Terms are the entire agreement between you and us about your use of the Website, without affecting any separate written agreement described in section 1.
- Third parties. No one other than you and Rayca has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise, except that Rayca’s affiliates, directors, employees and agents may rely on section 12.
- Language. These Terms are written in English. If they are translated, the English version prevails to the extent permitted by law.
